These Terms and Conditions ("Terms") govern your access to and use of the AgentXXI website, mobile application, software, platform and related services ("Service").

By accessing AgentXXI, creating an account, using the Service, creating marketing materials, downloading files or purchasing a subscription, you agree to these Terms.

If you do not agree with these Terms, you must not use AgentXXI.

1. About AgentXXI

AgentXXI is a real estate marketing technology platform designed to help real estate agents, agencies, property managers and other property professionals create marketing materials.

AgentXXI may provide tools for creating:

  • Property-for-sale marketing materials
  • Property-for-lease marketing materials
  • Social media graphics
  • Property posters
  • Property flyers
  • Brochures
  • AI-generated captions
  • AI-assisted marketing content
  • Other real estate marketing materials

Users enter property information, select a template and use AgentXXI to generate marketing materials that can be downloaded as supported image or PDF files.

AgentXXI does not directly publish content to users' social media accounts.

AgentXXI is a technology and marketing platform and is not a real estate agency, broker, property manager, legal adviser, financial adviser or conveyancer.

2. Eligibility

You must be legally permitted to use AgentXXI under the laws applicable to you.

If you use AgentXXI on behalf of a company, agency or organisation, you represent that you have authority to accept these Terms on its behalf.

3. Account Registration

Certain AgentXXI features may require an account. You agree to:

  • Provide accurate information
  • Keep your information current
  • Protect your login credentials
  • Not allow unauthorised access to your account
  • Notify AgentXXI if you believe your account has been compromised
  • Be responsible for activity conducted through your account

4. Information Entered into AgentXXI

AgentXXI allows users to enter property information for the purpose of creating marketing materials. This may include:

  • Property address
  • Property price
  • Property type
  • Property features
  • Property description
  • Sale or lease information
  • Property photographs
  • Agent details
  • Agency details
  • Other listing information

This information is supplied by the user for processing by the Service. AgentXXI does not intend to permanently retain property information as part of the user's account.

Property information may be temporarily processed, cached or stored where technically necessary to provide, secure, troubleshoot or maintain the Service.

Users should not assume that AgentXXI is a permanent storage or backup service for property information or marketing files.

5. User Responsibility

You are responsible for the information and materials you enter into AgentXXI. You represent that:

  • You have the right to use information you submit
  • You have permission to use property photographs
  • You have permission to use logos and branding
  • You are authorised to market the relevant property
  • Information you provide is accurate to the best of your knowledge
  • Your content does not infringe third-party rights
  • Your content does not violate applicable laws
  • You have appropriate permission to use personal information included in your content

AgentXXI does not independently verify property information submitted by users.

6. AI-Generated Content

AgentXXI may use artificial intelligence to generate captions, headlines, descriptions and other marketing content.

AI-generated content is intended to assist users and does not replace professional review. AI-generated content may contain errors or inaccurate information.

Before using any generated content, users should verify all relevant information, including:

  • Property address
  • Price
  • Property features
  • Measurements
  • Availability
  • Inspection details
  • Contact information
  • Sale or lease information
  • Other factual claims

Users are responsible for reviewing and approving the final content before downloading, publishing, printing or distributing it.

AgentXXI does not guarantee that AI-generated content will be accurate, complete, original, appropriate or legally compliant.

7. No Guarantee of Sales or Marketing Results

AgentXXI is designed to save time and help real estate professionals create marketing materials. AgentXXI does not guarantee:

  • Property sales
  • Property leases
  • Leads
  • Enquiries
  • Increased engagement
  • Increased followers
  • Increased website traffic
  • Increased revenue
  • Increased conversions
  • Advertising performance
  • Social media performance
  • Any specific business outcome

Results depend on many factors outside the control of AgentXXI.

8. Real Estate and Advertising Compliance

Users are responsible for ensuring that marketing materials created using AgentXXI comply with all laws and professional requirements applicable to them. This may include requirements relating to:

  • Property advertising
  • Pricing
  • Consumer protection
  • Real estate licensing
  • Fair housing
  • Anti-discrimination
  • Advertising claims
  • Disclosure requirements
  • Copyright
  • Privacy
  • Photography rights
  • Local property regulations

AgentXXI does not provide legal or regulatory advice.

9. Templates and Designs

AgentXXI may provide professionally designed templates, layouts, graphics, icons, fonts and other design elements. These materials may be owned by or licensed to AgentXXI or its licensors.

Subject to your applicable subscription plan, you may use AgentXXI templates to create and download marketing materials through the Service.

You may not:

  • Resell AgentXXI templates as standalone templates
  • Copy the AgentXXI template library
  • Extract design elements for separate commercial use
  • Create a competing template library using AgentXXI designs
  • Reverse engineer the AgentXXI design system
  • Redistribute AgentXXI templates outside the Service
  • Claim ownership of AgentXXI's proprietary templates or design systems

10. AgentXXI Intellectual Property

The AgentXXI name, logo, branding, website, application, software, interface, template library, technology, design system, features and underlying intellectual property are owned by or licensed to AgentXXI.

Nothing in these Terms transfers ownership of AgentXXI intellectual property to you.

You may not reproduce, copy, distribute, sell, lease, sublicense, reverse engineer or commercially exploit AgentXXI's proprietary technology without written permission.

11. Downloaded Marketing Materials

AgentXXI may allow users to download generated marketing materials as image files, PDF files or other supported formats.

Users may use downloaded materials for legitimate property marketing purposes, subject to these Terms and applicable law. Users are responsible for reviewing downloaded materials before using or distributing them.

AgentXXI does not guarantee that downloaded materials will remain available on the platform after they have been created or downloaded. Users should maintain their own copies of materials they wish to retain.

12. Social Media

AgentXXI does not connect to, access or publish content directly to social media accounts. Users do not need to provide social media passwords, access tokens or account credentials to use AgentXXI.

Users may download their marketing materials and independently upload them to platforms such as:

  • Facebook
  • Instagram
  • LinkedIn
  • TikTok
  • Other social media platforms

Users are responsible for complying with the terms, policies and requirements of any third-party platform where they publish their downloaded content.

13. Free Version

AgentXXI may provide a free version of the Service. The free version may include limitations relating to:

  • Templates
  • Number of designs
  • Downloads
  • AI usage
  • Available features
  • File formats
  • Advertising
  • Other functionality

Free users may be required to view advertisements before accessing certain features. The features and limitations of the free version may change from time to time.

14. Advertising

The free version of AgentXXI may be supported by third-party advertisements. Advertisements may appear within the AgentXXI application or other parts of the Service.

The type, frequency, placement and availability of advertisements may change. AgentXXI does not guarantee that any particular advertiser or advertisement will appear.

AgentXXI does not necessarily endorse products or services displayed through third-party advertisements.

15. Paid Subscriptions

AgentXXI may offer paid subscription plans. Subscriptions may be available on monthly, annual or other billing cycles.

Different subscription plans may provide different:

  • Features
  • Usage limits
  • Template access
  • AI usage
  • Download limits
  • Advertising experiences
  • Other benefits

The applicable price and features will be displayed before purchase.

16. Automatic Renewal

Where automatic renewal is available and permitted by applicable law, your subscription may automatically renew at the end of each billing period.

You authorise the applicable payment provider to charge the applicable renewal fee unless you cancel before the renewal date. The renewal price and billing terms will be disclosed during the purchase process.

17. Cancellation

You may cancel your subscription through the applicable cancellation process provided by AgentXXI or the relevant payment provider.

Unless otherwise required by law, cancellation will normally take effect at the end of the current paid billing period. You may continue to access applicable paid features until the end of the period for which you have paid.

18. Refunds

Refund eligibility is subject to the applicable subscription terms, payment provider rules and applicable consumer protection laws.

Nothing in these Terms excludes or limits consumer rights that cannot legally be excluded or limited.

If you purchased a subscription through a third-party app store or payment provider, you may need to submit refund requests through that platform.

19. Third-Party Services

AgentXXI may use third-party services to operate certain aspects of the platform. These may include:

  • Hosting providers
  • Cloud infrastructure
  • AI providers
  • Payment processors
  • Analytics services
  • Advertising services
  • Email providers
  • Security services
  • Other technology providers

Third-party services may have separate terms and privacy policies. AgentXXI is not responsible for services outside our reasonable control.

20. Prohibited Uses

You must not use AgentXXI to:

  • Violate applicable law
  • Commit fraud
  • Create intentionally false or deceptive property advertisements
  • Impersonate another person or business
  • Infringe intellectual property rights
  • Upload content you do not have permission to use
  • Distribute malicious software
  • Attempt unauthorised access to AgentXXI
  • Interfere with the Service
  • Attack or compromise AgentXXI's systems
  • Reverse engineer the platform
  • Scrape or systematically extract data
  • Circumvent subscription restrictions
  • Circumvent advertising requirements
  • Resell AgentXXI access without permission
  • Build a competing service using AgentXXI's proprietary technology
  • Use AgentXXI for unlawful activities

21. Account Suspension and Termination

AgentXXI may suspend or terminate your account if:

  • You materially breach these Terms
  • You engage in fraudulent or abusive activity
  • Your activity creates a security risk
  • Your activity creates legal or regulatory risk
  • You fail to pay applicable subscription fees
  • You misuse the Service
  • We are required to do so by law

Where reasonably possible, AgentXXI may provide notice before termination.

22. Service Availability

AgentXXI aims to provide a reliable service but does not guarantee uninterrupted availability. The Service may occasionally be unavailable because of:

  • Maintenance
  • Updates
  • Technical problems
  • Security incidents
  • Hosting problems
  • Third-party service failures
  • Internet failures
  • Events outside our reasonable control

AgentXXI may modify, suspend or discontinue features where reasonably necessary.

23. Disclaimer

AgentXXI is provided as a technology and marketing assistance service.

To the maximum extent permitted by applicable law, AgentXXI does not guarantee that:

  • The Service will meet every user's requirements
  • AI-generated content will always be accurate
  • Generated content will always be error-free
  • Property information will be verified
  • The Service will always be available
  • Generated materials will produce a particular marketing result
  • Marketing materials will comply with every law in every jurisdiction
  • Any particular property will sell or lease as a result of using AgentXXI

Users are responsible for reviewing all materials before use.

24. Limitation of Liability

To the maximum extent permitted by applicable law, AgentXXI and its owners, directors, employees, affiliates, contractors and service providers will not be liable for indirect, incidental, special, consequential or punitive damages arising from or relating to your use of AgentXXI.

This may include loss of:

  • Profits
  • Revenue
  • Business opportunities
  • Data
  • Reputation
  • Anticipated savings

Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited.

25. Indemnification

To the extent permitted by applicable law, you agree to indemnify and hold harmless AgentXXI and its owners, directors, employees, affiliates, contractors and service providers from claims, losses, liabilities, damages and expenses arising from:

  • Your User Content
  • Your use of AgentXXI
  • Your violation of these Terms
  • Your violation of another person's rights
  • Your violation of applicable law
  • Your property advertising
  • Your marketing activities
  • Your use or distribution of downloaded materials

26. Changes to the Service

AgentXXI may add, remove, modify or update features from time to time. We may introduce new subscription plans, pricing structures, usage limits or features.

Where changes materially affect paid services, we will provide notice where required by applicable law.

27. Changes to These Terms

We may update these Terms from time to time. If material changes are made, we may provide notice through the website, application, email or other reasonable means.

The "Last Updated" date indicates when these Terms were most recently updated.

Your continued use of AgentXXI after updated Terms become effective constitutes acceptance of the updated Terms, to the extent permitted by applicable law.

28. Governing Law

These Terms will be governed by the laws of Victoria, Australia.

Any disputes will be subject to the applicable courts or dispute-resolution mechanisms of that jurisdiction, subject to any mandatory consumer rights applicable to you.

29. Severability

If any provision of these Terms is determined to be invalid, unlawful or unenforceable, the remaining provisions will continue in effect to the fullest extent permitted by applicable law.

30. Entire Agreement

These Terms, together with the AgentXXI Privacy Policy and any additional terms applicable to specific features or subscription plans, constitute the agreement between you and AgentXXI regarding your use of the Service.
